RYA releases new meeting guidance for clubs

The RYA has released new legal guidance for clubs regarding holding essential meetings during the present lockdown. Due to the current restrictions, previously scheduled meetings are not able to go ahead on a face-to-face basis. This has resulted in many clubs considering holding virtual meetings, which creates a practical solution to the social distancing regulations. 

The guidance has been created as part of the RYA’s ongoing support for affiliated clubs during the COVID-19 pandemic. The COVID-19 and Holding Club Meetings Guidance considers the variety of actions that can be taken by the different classified clubs to minimise the impact of holding meetings online, whether they are Company Limited by Guarantee, an Unincorporated Association, or a Charitable Organisation. 

The guidance includes advice on the legal practicalities of meeting virtually, such as online voting, circulating the meeting’s minutes and ratifying any decisions taken. It is hoped that it will enable clubs to progress with necessary business meetings such as Annual General Meetings and will also aid them in planning for the future.  

Mandy Peters, RYA Legal Manager says: “Many affiliated clubs have been contacting the RYA Legal team during the lockdown, concerned that they may be penalised in the future for being unable to progress essential business now. Clubs have also been concerned that any decisions taken during meetings at this time may be challenged and deemed as invalid. We urge clubs to read the new COVID-19 and Holding Club Meetings Guidance to ensure that actions that are agreed upon now will be considered as authorised in the future.”
